About the role

This role leads corporate governance and compliance across India and global entities, ensuring adherence to FEMA/RBI regulations and the Companies Act, 2013. It involves managing regulatory filings, board processes, and corporate actions, while working closely with regulators, consultants, and senior stakeholders.

Responsibilities

  • Ensure best-in-class corporate governance practices in compliance with the laws applicable

  • Work with relevant consultants/vendors to manage the Group’s entities across India, Singapore, Mauritius, the UAE, BVI, Brazil, the USA, and other relevant jurisdictions.

  • Oversee, from an India compliance perspective, matters including but not limited to the following:

1. FEMA / RBI

  • Interpret applicable FEMA and RBI requirements and ensure full compliance with regulations relevant to regulated businesses, including banking technology providers and cross-border financial management activities.

  • Manage filing of statutory forms such as FC-GPR, FC-TRS, FLA returns, and other related submissions.

  • Coordinate with Authorised Dealers in relation to RBI compliance requirements, including matters such as STPI and related filings.

  • Liaise with RBI authorities for approvals, specific permissions, and responses to regulatory queries, as required.

2. Companies Act, 2013

  • Conduct Board Meetings and General Meetings, including preparation of agenda papers, notices, minutes, and maintenance of statutory registers.

  • Prepare Notices, Directors’ Reports, and Annual Reports.

  • Ensure timely filing of statutory forms with the Registrar of Companies and proper maintenance of statutory records and documents.

  • Handle compliance relating to buy-backs, ESOPs, and other corporate actions.

3. Other Compliance Areas

  • Manage assignments relating to STPI registration, renewal of registrations, and ongoing quarterly, half-yearly, and monthly STPI compliances.

  • Ensure full compliance across global entities.

  • Liaise with the Registrar of Companies, statutory and government authorities, auditors, consultants, legal counsels, and other external stakeholders on routine and special company matters.

  • Keep track of regulatory and statutory developments, including changes in laws, policies, and guidelines that may impact the organisation.

  • Work closely with senior management and internal stakeholders on governance, compliance, and corporate secretarial matters.

  • Strong knowledge of the Companies Act and FEMA.

Experience & Qualifications

  • Qualified Company Secretary with 7–10 years of post-qualification experience in the banking, fintech, IT, or ITeS sectors.

  • LLB from a recognised university in India would be an added advantage.

  • Knowledge of USA, UK Corporate Law & experience with offshore structures will be an added advantage

  • Relevant experience in dealing with regulators, consultants, and senior management.

  • Experience in handling compliance and corporate secretarial matters across multiple jurisdictions.

  • Demonstrated ownership, accountability, and ability to deliver results within deadlines.
